Terms of Service

The terms on which Total Pharma Tech supplies its field force management platform and related services. These terms apply unless a signed Order Form or subscription agreement states otherwise.

Two fields still need completing before these terms are used in a live negotiation: the governing law and jurisdiction in section 17, and the identity of the contracting party, which is currently described by trading name only. Both are flagged in the notes to those sections.

This document is a working draft written in plain English. It has not been reviewed by a qualified lawyer, and it must be reviewed, completed and approved by your legal adviser before publication or before you rely on it.

Version 1.0. Last updated 18 September 2026. These terms govern the platform at totalpharmatech.com and the services supplied under an Order Form. Our Privacy Policy explains how we handle personal data.

1. Agreement to these terms

These Terms of Service are between Total Pharma Tech, a trading name used by a business based in Pakistan ("TPT", "we", "us"), and the organisation or individual that accesses or uses the platform ("you", "customer"). By signing an Order Form, creating an account, or using the platform, you agree to be bound by them. If you are agreeing on behalf of an organisation, you confirm that you have authority to do so.

We have not yet incorporated a legal entity. Where an Order Form or other written agreement is signed, the legal entity or person named in that document is the contracting party, and that document governs the identity of the parties in place of this description.

  1. If these terms conflict with a signed Order Form, subscription agreement or Data Processing Agreement, the signed document prevails for that conflict, in that order of precedence.
  2. If you do not accept these terms, you must not use the platform.
  3. These terms replace any earlier terms relating to the same subject matter.

2. Definitions

  • Platform — the Total Pharma Tech field force management software, including the web application, mobile applications, APIs and documentation we make available.
  • Order Form — the document signed by both parties that records the subscription term, subscribed plans, quantities, fees and any special terms.
  • SLA — a service level agreement or service description that sets out availability targets, support hours and response times, where one is attached to an Order Form.
  • Customer Data — data, content and files that you or your users upload to, or generate within, the platform, including field activity records and healthcare professional records.
  • User — an individual you authorise to access the platform, typically a field representative, manager, administrator or analyst.
  • Authorised Representative — a field representative or other User for whom a subscription is purchased.
  • DPA — the Data Processing Agreement governing our processing of personal data on your behalf, which forms part of the agreement.
  • Subscription Term — the period stated in the Order Form for which the subscription is purchased, and each renewal period.
  • Output — recommendations, scores, summaries, plans or reports generated by the platform's AI features.

3. Licence to use the platform

Subject to payment of the applicable fees and compliance with these terms, we grant you a non-exclusive, non-transferable, worldwide right to access and use the platform during the Subscription Term, for your internal business purposes.

  1. The licence covers the number and type of Users stated in the Order Form. Where subscriptions are priced per field representative, each Authorised Representative requires a subscription.
  2. You may permit your affiliates and contracted distributors to use the platform under your subscription, provided you remain responsible for their compliance with these terms.
  3. You may not sell, sublicense, rent, lease or otherwise make the platform available to a third party as a service, except as expressly permitted in an Order Form.
  4. You may not reverse engineer, decompile or disassemble the platform, except to the extent that this restriction is not permitted by applicable law.
  5. The licence ends when the agreement ends. Sections that by their nature should survive termination do so, including fees already due, confidentiality, intellectual property, liability and governing law.

4. Accounts and access responsibilities

You are responsible for the administration of your own tenant and for everything done through your Users' accounts.

  1. You will provide accurate administrator contact details and keep them current, so that we can send security and service notices to the right people.
  2. Each User must have their own named account. Shared or generic logins are not permitted for field users, because they break the audit trail.
  3. You will manage permissions on a least-privilege basis, remove access promptly when a User leaves or changes role, and notify us of any suspected unauthorised access without undue delay.
  4. You will keep credentials confidential and enable single sign-on or multi-factor authentication where your security policy requires it. We support SAML and OIDC single sign-on on Enterprise plans.
  5. Where you integrate the platform with your own systems, you are responsible for the configuration of that integration, for the data you send and receive, and for any third-party service you connect.

5. Acceptable use

You will not, and will not permit anyone using your account to:

  1. upload data you do not have the right to upload, or that you have not lawfully collected;
  2. use the platform to send unsolicited marketing, or to contact individuals who have asked not to be contacted;
  3. upload malware, or content that is unlawful, defamatory, or that infringes the rights of others;
  4. attempt to gain access to another tenant's data, to our internal systems, or to any account that is not yours;
  5. probe, scan or test the vulnerability of the platform without our prior written consent;
  6. place unreasonable load on the platform, including through automated scraping or bulk extraction beyond the limits of your subscription;
  7. use the platform or its Output to build a competing product, or to benchmark it for publication without our written agreement;
  8. remove or obscure ownership notices, or use the platform in breach of export control or sanctions law.

We may suspend access where we reasonably believe there is a threat to the security or integrity of the platform, or a breach of this section. Where the situation allows, we will tell you first and limit the suspension to what is necessary.

6. Customer data and our role as processor

You own your Customer Data. We do not acquire any rights over it beyond what we need to provide and support the service.

  1. You grant us a limited licence to host, copy, transmit, display and process Customer Data solely to provide the platform, to support you, to prevent or address service or technical problems, and to comply with law.
  2. Where Customer Data includes personal data, you are the controller and we are the processor. Our processing is governed by the DPA, which forms part of the agreement.
  3. We process Customer Data only on your documented instructions, including for transfers to another country, unless the law requires otherwise. If the law requires us to process data otherwise, we will tell you unless we are prohibited from doing so.
  4. We will not use Customer Data for our own marketing, sell it, disclose it to another customer, or use it to contact healthcare professionals on our own behalf.
  5. We do not use Customer Data to train AI models that are shared with other customers.
  6. You are responsible for the accuracy, quality, legality and lawful collection of Customer Data, for the instructions you give us, and for obtaining any consents or approvals your local law requires. Where you upload special category data or data about minors, you are responsible for the additional safeguards that apply.
  7. We will assist you, as far as reasonably possible, in responding to data subject requests, in meeting your breach notification duties, and in carrying out data protection impact assessments. Our charges for assistance that goes beyond routine support are set out in the Order Form.

7. Intellectual property

  1. We and our licensors own all rights in the platform, including software, source code, interfaces, design, documentation, models, methods and know-how. Nothing in these terms transfers ownership of them to you.
  2. You own all rights in Customer Data, and in the reports and exports you generate from it.
  3. You may provide feedback or suggestions. We may use them without restriction or obligation, provided we do not identify you as their source without your agreement.
  4. We may use aggregated and de-identified statistics about platform usage, such as counts of active users or feature usage, for capacity planning, product improvement and reporting. We will not use them in a way that identifies you, your Users or any individual.
  5. If you believe the platform infringes your intellectual property rights, contact us at hello@totalpharmatech.com with the details and we will respond promptly.

8. Fees, billing, annual commitments and headcount changes

Early access. The platform is currently provided free of charge during early access. No fees are payable, no card is required, and nothing in this section obliges you to pay anything during that period. We will give you notice before any fees apply, and fees will only ever apply if you agree to a paid plan. The rest of this section describes our standard commercial terms, which take effect once a paid plan is agreed.

Subscriptions are priced per field representative per month and billed annually, unless the Order Form states otherwise. The summary below describes our standard commercial terms.

Item Standard terms
Price basis Per field representative, per month, in US dollars unless the Order Form states another currency
Billing Annually in advance, invoiced at the start of each subscription year
Annual commitment The Subscription Term is 12 months unless the Order Form states otherwise. Fees for the committed term are non-cancellable and non-refundable, except where these terms expressly provide otherwise
Volume tiers Discount tiers apply above 250 subscribed representatives, as set out in the Order Form
Adding representatives mid-term Additional subscriptions are added pro rata for the remainder of the then-current term, at the applicable tier rate, and are invoiced on the next invoice
Reducing representatives mid-term Reductions take effect at the next renewal. Where a representative is removed before renewal, the subscription may be reassigned to another representative at no additional charge
Reassignment Permitted at any time within the same country and role type, so seasonal or territory changes do not create extra cost
Onboarding and data migration Onboarding services quoted separately; a setup fee may apply for large data migrations
Renewal price changes We give at least 60 days' written notice of any price change taking effect at renewal
Payment terms 30 days from the invoice date, unless the Order Form states otherwise
Late payment We may charge interest on overdue amounts at the rate stated in the Order Form or, if none is stated, at 1.5% per month or the maximum permitted by law, whichever is lower
Taxes Fees exclude VAT, sales tax, withholding and similar taxes, which are payable in addition where applicable
Suspension for non-payment We may suspend access if an undisputed invoice remains unpaid 30 days after the due date, after written notice

Fees for a renewal term are due unless either party gives written notice of non-renewal at least 30 days before the end of the current term. Where an Order Form provides for a pilot or a staged rollout, the fees and any conditions for converting to a full subscription are set out in that Order Form.

9. Service levels and support

  1. Availability targets, maintenance windows, support hours, severity definitions and response and resolution times are set out in the Order Form or in the SLA attached to it. Where no SLA is attached, we provide the standard support described in the Order Form on a commercially reasonable efforts basis.
  2. We may carry out planned maintenance outside your core business hours where we can, and we will give reasonable advance notice of maintenance that is likely to interrupt service.
  3. Support is provided to your nominated administrators, who raise issues on behalf of your Users. Support covers configuration, functional questions and fault resolution; it does not include custom development, which is quoted separately.
  4. Service credits, where an SLA provides for them, are your sole financial remedy for a failure to meet an availability target.
  5. We may change the technical specification of the platform to improve it, provided we do not materially reduce the core functionality you subscribed to during the current Subscription Term.

10. Warranties and disclaimers

  1. We warrant that we will provide the platform with reasonable skill and care; that it will materially conform to the documentation we supply; and that we will use current industry practice to prevent the introduction of malicious code.
  2. We warrant that we have the right to grant the licence in these terms, and that we will comply with the laws applicable to us as a supplier.
  3. AI features generate Output on a probabilistic basis. Output may be incomplete or inaccurate. Output is decision support for your personnel, not a substitute for professional judgement, and it must be reviewed by a competent person before it is acted on.
  4. The platform is not intended to provide medical, legal, regulatory or promotional-approval advice, and no Output may be relied on as such.
  5. To the extent permitted by law, and except for the warranties in clauses 10.1 and 10.2, the platform is provided without other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
  6. We do not warrant uninterrupted or error-free operation, or that the platform will meet requirements that were not communicated to us and reflected in the Order Form. Our obligation to remedy a breach of the warranties in clause 10.1 is, at our option, to repair or replace the affected functionality or to refund the fees paid for the affected period.

11. Limitation of liability

  1. Nothing in these terms excludes or limits either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct, or for anything else that cannot lawfully be excluded or limited.
  2. Subject to clause 11.1, neither party is liable for indirect or consequential loss, loss of profit, loss of anticipated savings, loss of business or goodwill, or loss or corruption of data, however arising.
  3. Subject to clause 11.1, each party's total aggregate liability arising under or in connection with the agreement is limited to the fees paid or payable by you in the 12 months immediately preceding the event giving rise to the claim.
  4. Our liability for a breach of the DPA, for a security incident caused by our failure to meet the security measures in the DPA, and for infringement of your intellectual property by the platform, is subject to a higher cap where the Order Form states one. Where no higher cap is stated, clause 11.3 applies.
  5. We are not liable for loss caused by Customer Data that is inaccurate or incomplete, by your configuration of the platform, by decisions your personnel take on the basis of Output, or by a third-party service you choose to connect.
  6. These limits apply whether the claim is brought in contract, in tort, for breach of statutory duty or otherwise, and they survive termination.

Note for legal review: liability caps, exclusions and any higher caps for data protection breaches must be confirmed against your insurance cover and the commercial terms of each deal before these terms are used in a live negotiation.

12. Indemnification

  1. Neither party provides any indemnity to the other under these terms. Each party bears its own losses arising out of or in connection with the agreement, subject to the limitation of liability in section 11.
  2. This section does not affect either party's duty to mitigate its own losses, and it does not limit any liability that cannot lawfully be excluded or limited, as set out in clause 11.1.
  3. Where an Order Form or a separately signed agreement expressly provides for an indemnity, that document governs to the extent of any conflict. This section does not remove an indemnity that has been specifically negotiated and signed in an Order Form.
  4. Neither party is obliged to defend the other against a third-party claim. Each party will notify the other promptly of any third-party claim relating to the platform, and will cooperate reasonably in responding to it.

13. Confidentiality

  1. Each party will keep the other's confidential information confidential, use it only to perform the agreement, and disclose it only to personnel and advisers who need it and are bound by confidentiality obligations at least as protective as this section.
  2. Confidential information includes Customer Data, non-public product information, pricing and commercial terms, and anything marked confidential or that a reasonable person would understand to be confidential.
  3. These obligations do not apply to information that is or becomes public without breach, that the receiving party already held without a duty of confidence, that is independently developed, or that is received from a third party entitled to disclose it.
  4. A party may disclose confidential information where required by law or by a regulator, court or stock exchange, provided it gives the other party notice where it lawfully can, and discloses only what is required.
  5. These obligations continue for five years after termination, and indefinitely for Customer Data and trade secrets.

14. Suspension and termination

  1. Either party may terminate the agreement for material breach if the breach is not remedied within 30 days of written notice describing it.
  2. Either party may terminate immediately if the other becomes insolvent, enters administration or liquidation, or ceases to carry on business.
  3. We may suspend your access, in whole or in part, if we reasonably believe there is a security risk, a breach of the acceptable use section, or an undisputed invoice is more than 30 days overdue after notice. We will restore access promptly once the issue is resolved.
  4. We may terminate the agreement on 90 days' written notice if we discontinue the platform. If we do, we will refund fees paid for the unused portion of the term and provide the export assistance described in section 15.
  5. You may terminate a subscription for convenience only where the Order Form expressly permits it, and any early termination fee or minimum commitment stated there applies.
  6. On termination, all licences end, fees already invoiced remain payable, and each party will return or destroy the other's confidential information, subject to the retention rights in section 15 and any legal obligation to keep records.

15. Data export and deletion on termination

  1. During the Subscription Term you can export Customer Data at any time using the platform's export functions or the API, in the formats the platform supports, including CSV and scheduled extracts.
  2. For 30 days after termination we will keep your tenant available in a restricted, read-only state so that you can complete a final export. On request, and where you have paid for it in the Order Form, we will provide additional export assistance.
  3. After the export window, we will delete or irreversibly anonymise Customer Data, including copies in active systems, within 90 days, except where law requires us to retain it or where it remains in encrypted backups that are overwritten on their normal cycle.
  4. On written request we will confirm in writing when deletion has been completed.
  5. Where we are required by law to retain data, we will keep it only for as long as required, restrict access to it, and not process it for any other purpose.

16. Your compliance obligations in regulated industries

The platform is designed to support compliance work in a regulated industry. It does not take on your regulatory obligations, and it is not a certified or approved compliance system. You remain responsible for your own compliance.

  1. You are responsible for the lawfulness of your promotional and non-promotional activity, including the content of any material recorded or distributed through the platform.
  2. You are responsible for obtaining and recording internal approvals, including medical, legal and regulatory sign-off, before material is used in the field. The platform records approvals you configure; it does not grant them.
  3. You are responsible for transparency and disclosure reporting in the jurisdictions where you operate, such as transfers of value reporting and sunshine-style disclosure, and for the accuracy of the underlying data you upload.
  4. You are responsible for pharmacovigilance obligations. The platform is not a safety database, and adverse event information must be handled through your own pharmacovigilance processes and timelines.
  5. You are responsible for compliance with local interaction rules, sampling and sample accountability rules, data privacy law and any restrictions on the use of AI in your jurisdiction.
  6. Where you use platform features that support audit trails, access controls or electronic records, you are responsible for configuring and validating them to meet the requirements that apply to you, including any requirements relating to electronic records and electronic signatures. We will provide the documentation and audit trail exports you need for your inspections.
  7. You will tell us promptly if a regulator, auditor or ethics committee requires information from us, so that we can respond within your deadlines.

We describe our controls accurately and do not claim certifications we do not hold. Current status of framework work such as ISO 27001 and SOC 2 is available on request.

17. Governing law and jurisdiction

  1. These terms and any dispute arising out of or in connection with them are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to its conflict of law rules.
  2. The courts of [GOVERNING LAW JURISDICTION] have exclusive jurisdiction over any dispute, unless the Order Form provides for arbitration or for another forum.
  3. Before starting proceedings, the parties will attempt in good faith to resolve the dispute through escalation to a senior representative of each party within 30 days of written notice of the dispute.
  4. Nothing in this section prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction to protect its confidential information or intellectual property.

Note for legal review: [GOVERNING LAW JURISDICTION] must be completed, and the interaction between this clause and the laws of the countries in which customers are located, including mandatory local consumer or data protection provisions, should be confirmed. The identity of the contracting party should also be finalised: TPT is currently described by trading name only, so this section and section 1 both need revisiting once a legal entity is incorporated.

18. Changes to these terms

  1. We may update these terms to reflect changes in the platform, in the law, or in our security and privacy practices.
  2. For changes that materially reduce your rights or increase your obligations, we will give at least 30 days' notice by email to your nominated administrators and by a notice in the platform. If you do not accept the change, you may terminate the affected subscription before it takes effect and we will refund fees paid for the unused portion of the term.
  3. Changes that are required by law, or that relate only to new functionality you choose to enable, may take effect immediately on notice.
  4. The terms that apply to your subscription are those in force on the date the Order Form is signed, as updated under this section, for the duration of the then-current Subscription Term.
  5. The current version and its date are shown at the top of this page.

19. Contact

Questions about these terms, notices, and requests relating to contract administration should be sent to hello@totalpharmatech.com. Commercial and renewal enquiries go to sales@totalpharmatech.com.
